Ovilla Chamber of Commerce Membership Agreement
Effective Date: [July 24, 2025]
This Membership Agreement (“Agreement”) is entered into by and between the Ovilla Chamber of Commerce, hereinafter referred to as the “Chamber,” accessed via [www.ovillachamber.com]() and all current and future members of the Chamber, hereinafter referred to as “Member.”
By accessing, browsing, or using www.ovillachamber.com ()or by selecting "I Accept" during the membership registration process, you agree that you have read, understand, and agree to be bound by the terms and conditions of this Agreement.
1. Nature of Service
The Chamber provides a platform designed to support and connect members of the Ovilla business and nonprofit community. Member benefits may include but are not limited to: networking, promotional opportunities, business resources, community engagement, and access to educational programming and events.
2. Member Registration and Information
Members must provide accurate and complete information during the registration process and agree to keep their profile information current. Members are responsible for maintaining the confidentiality of their username and password, and for all activity that occurs under their account.
3. Content
Members may post messages, content, or other materials to forums, directories, or other sections of the Chamber website or platforms. By doing so, the Member grants the Chamber a nonexclusive license to use, copy, modify, display, and distribute such content in connection with Chamber operations, including promotional or informational uses. Members are responsible for the content they post and agree not to include personal or sensitive data they do not wish to be publicly accessible.
4. Disputes Between Members
In the event of a dispute between members, the Member agrees to release the Chamber, its board, staff, volunteers, and affiliates from any claims, demands, or damages arising out of or related to such disputes.
5. Privacy
The Chamber respects your privacy. We do not sell or rent your personal information to third parties without your consent. Member data may be stored on secure systems and used for Chamber-related communications, updates, and operations in accordance with our privacy policy.
6. Indemnification
Members agree to indemnify and hold harmless the Chamber, its officers, directors, agents, and affiliates from any claims or liabilities arising from their membership, including but not limited to breaches of this Agreement or violations of applicable laws or rights of third parties.
7. No Agency
This Agreement does not create any agency, partnership, joint venture, or employment relationship between the Member and the Chamber.
8. Termination of Membership
Members may cancel their membership at any time by providing written notice to the Chamber. Some content submitted by the Member may remain visible or archived after termination, unless otherwise requested and approved. Membership dues are non-refundable.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas.
10. Dispute Resolution
Any dispute arising from this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
11. Limitation of Liability
The Chamber is not liable for the content, actions, or inactions of individual members. Use of Chamber platforms and participation in Chamber activities is at the Member’s own risk.
By completing your registration or renewal, you acknowledge and agree to the terms outlined in this Membership Agreement.
